Foreign Companies's Branches

Documents Required to be presented for Opening a Foreign Company's Branch in the Great Jamahiriya :

1- Decision of Board of Directors of the mother company, approving the opening a branch of the Company in the Great Jamahiriya, and include the following:

a) Define the activity desired to be carried on in the Great Jamahiriya as compatible with the objectives of Mother Company within the activities allowed for foreign companies operating a branch thereto in the Great Jamahiriya.
b) Amount allocated for opening the branch in the Great Jamahiriya, should be not less than LD (150.000) One hundred and fifty thousand Libyan Dinars.
c) Name of the Branch Manager and his deputy in the Great Jamahiriya provided one of them shall be of Libyan nationality.
d) Main offices of Company�s branch in the Great Jamahiriya .


2- Certified true copy of Memorandum and Articles of Association of Mother Company.
3- Commercial extract with recent date from the body with which the mother Company is registered .
4- Commitment from the Board of Directors of the mother Company to prepare annual balance sheet and profit and loss account for the Company�s branch.
5- Commitment by the Board of Directors of the mother company for non-interference in political affairs of the Great Jamahiriya.
6- Certificates evidencing experience of the company in the activity desired to be carried on in the Great Jamahiriya.

Remarks:
  • The documents required shall be appended to an official letter to the General Department of Corporate and Commercial Registers.
  • All documents presented should be original.
  • The documents in foreign language shall be attested by the Libyan People�s Bureau (Embassy) in the Country of Mother Company.
  • Documents shall be translated in the Great Jamahiriya by a sworn translator.
  • Statement from a bank operating in the Great Jamahiriya evidencing that an amount equivalent to LD 150 000, has been transferred.

Fields Permitted for Foreign Companies to Open Branches thereto in the Great Jamahiriya :

I - Oil Sector:
1- Oil exploration, including strata survey by the various geological, geophysical and geochemical means, etc.
2- Data testing and analysis, and submission of underground reservoir geological studies.
3- Oil well drilling.
4- Construction of tanks, oil and gas conveyance, pumping stations, pipelines, and the necessary cathodic protection works.
5- Construction of floating marine platforms for oil and gas exploration.
6- Installation of Oil Refineries and Petrochemical Plants.
7- Clearing of mines from oilfields .
8- Inspection and survey of oil consignments. This activity is given temporarily to foreign company branches, until establishing national companies capable of performing it, provided that such companies shall be obligated to employ national (technical / skilled) manpower, not less than (60%) of the size of technical manpower employed in the Company's Branch in the Great Jamahiriya .

II - Surveying and Planning Field :
1- Surveying and air mapping by various means and for various purposes .
2- Providing Engineering Consultancy services as necessary for city planning and urban area.

III - Environmental Protection Field :
1- Construction of stations for rectifying the environment.
2- Treatment of wastes, and conversion thereof, and construction of sewage / wastes processing stations and recycling thereof.
3- Treatment of environmental pollution and installation and maintenance of the relevant equipment.
4- Treatment of seawater encroachment with underground water, and maintenance of water conveyance and drainage systems.

IV - Computer Field :
- Installation of automatic control systems, and manufacturing and preparation of the relevant programs / software and maintenance thereof.

V - Consultancy and Technical Studies :
1- Preparation of studies in the field of information technology, telecommunication, and control systems, and providing the necessary consultancy services in this respect.
2- Supervision of implementing the necessary consultancy of this respect.
3- Technical and financial evaluation of major projects for specifying their share value in the International market.
4- Design of major projects with advanced technology, in terms of installation and performance .

VI- Health Field :
- Installation and maintenance of medical instruments and equipment and calibration thereof.
